Subscription Terms

These Subscription Terms form part of the ETL Console Terms of Service and apply to free plans, trials, paid subscriptions, add-ons, top-ups, billing, cancellations, renewals, and refunds.
By selecting a plan, starting a trial, subscribing, renewing, or continuing to use the Service, you agree to these Subscription Terms.
1. Plans and Features
ETL Console may offer different plans, including:
Free\ Basic\ Pro\ Business\ Enterprise
Available plans, limits, prices, billing intervals, and included features are shown on the applicable pricing page, tier page, checkout page, or inside the Platform.
Plan features and limits may include, for example:
number of connections;\ number of mappings;\ number of staging configurations;\ number of transformations;\ allowed connection types;\ fair-use inserted-row limits;\ job limits;\ queue priority;\ worker availability;\ storage limits;\ rejected row settings;\ API usage;\ support level;\ deployment model;\ other technical or commercial limits.
We may update available plans, limits, and features as described in these Subscription Terms.
2. Free Plan
The Free Plan is provided without charge and may include limited features, limited usage, limited row volumes, limited connection types, limited queue priority, and limited support.
We may change, restrict, suspend, or discontinue the Free Plan at any time.
Free Plan users are not entitled to refunds, credits, service-level commitments, guaranteed availability, or guaranteed feature availability.
To the maximum extent permitted by law, we have no liability for Free Plan use.
3. Trials
We may offer trials for certain paid plans.
Unless stated otherwise, the Pro trial:
lasts 7 days;\ has a row cap of 1 million rows;\ is available only to eligible individual Free or Basic users;\ is not available to organizations;\ is limited to one trial per user.
A trial does not require a payment method unless expressly stated during trial activation.
A trial does not automatically convert into a paid subscription unless the user separately subscribes to a paid plan.
We may refuse, revoke, limit, or terminate a trial if we reasonably believe the trial is being abused or used in violation of our Terms or policies.
4. Trial Abuse
Users must not create multiple accounts, use aliases, delete and recreate accounts, use misleading identities, or otherwise attempt to obtain repeated trials or avoid trial restrictions.
We may retain a normalized email hash or similar pseudonymous identifier to prevent repeated trial abuse, fraud, and misuse of promotional access.
5. Paid Subscriptions
Paid subscriptions provide access to selected paid plan features during the applicable subscription period.
A paid subscription becomes active only after successful payment confirmation from the applicable payment provider or billing process.
Subscription fees are paid for access to the Platform and included plan features. Subscription fees are not paid for guaranteed business outcomes, guaranteed ETL results, uninterrupted workflows, correctness of transformations, quality of source data, or customer business performance.
6. Billing Cycles
Paid subscriptions may be offered on monthly, yearly, or other billing intervals shown during checkout or inside the Platform.
Monthly and yearly subscriptions are generally charged upfront for the selected billing period.
The billing interval, renewal behavior, price, and payment method may depend on the subscription settings selected by the customer and the payment provider.
7. Payment Provider
Payments for online paid subscriptions and eligible add-ons are processed by Paddle, which acts as the merchant of record for such transactions.
Paddle may handle payment processing, applicable taxes, invoices, refunds, chargebacks, payment disputes, and related billing operations according to its applicable terms and policies.
We do not store full payment card details.
8. Taxes
Prices may exclude or include taxes depending on the checkout flow, customer location, jurisdiction, applicable law, and payment provider.
Applicable taxes may be calculated, collected, reported, or remitted by the payment provider or by us, depending on the billing arrangement.
Customer is responsible for providing accurate billing and tax information.
9. Renewals
Paid subscriptions renew according to the subscription settings selected by the customer or shown during checkout.
Paid monthly and yearly subscriptions renew automatically at the end of each billing period unless canceled before renewal.
The applicable billing interval, renewal date, price, and cancellation options are shown during checkout, in the Platform, or in the Paddle customer portal.
Enterprise subscriptions may follow different renewal terms where specified in a separate written agreement.
Customer is responsible for reviewing subscription settings, renewal terms, billing interval, and cancellation options before subscribing.
10. Cancellation
Customer may cancel a paid subscription through the available billing controls in the Platform or through the Paddle customer portal.
Cancellation stops future automatic renewals.
Unless otherwise required by applicable law, cancellation does not terminate the current paid billing period. Customer retains access to the applicable paid plan and its features until the end of that billing period.
Cancellation does not create a right to a refund, credit, or partial refund for any unused portion of the current paid billing period, except where required by applicable law or expressly approved by us in writing.
At the end of the current paid billing period, the paid subscription will terminate and the account may be downgraded to the Free Plan, if available.
As a result of the downgrade, previously created connections, mappings, staging configurations, transformations, jobs, and other assets may exceed Free Plan limits or use features unavailable under the Free Plan. Such assets may therefore become restricted, disabled, inactive, or unavailable until they are brought within the applicable plan limits or the account is upgraded again.
11. Refunds
Payments are non-refundable except where required by applicable law or expressly approved by us in writing.
Customer is responsible for evaluating whether the Service meets its needs before purchasing a paid subscription.
Free plans, documentation, trial access, product information, tier descriptions, and available Platform functionality are provided to help Customer evaluate the Service before subscribing.
The following do not create a refund right:
dissatisfaction with the Service;\ non-use or failure to use the Service;\ lack of suitability for Customer’s specific business process;\ Customer misconfiguration;\ incorrect mappings, transformations, filters, or job settings;\ source data quality issues;\ target system behavior;\ third-party system failures;\ lack of expected business outcome;\ Customer decision not to continue using the Service.
Cancellation stops future renewals but does not automatically refund the current billing period.
12. Chargebacks and Payment Disputes
If Customer initiates a chargeback or payment dispute for a valid charge, we may suspend, restrict, downgrade, or terminate access until the issue is resolved.
We may also preserve relevant account, billing, usage, and subscription records for dispute resolution, fraud prevention, legal compliance, and enforcement of our agreements.
13. Failed Payments and Past Due Accounts
If payment fails, is reversed, is disputed, or a subscription becomes past due, we may suspend, restrict, downgrade, or terminate access after notice where reasonable.
We may also retry payment, request updated billing information, or rely on the payment provider’s dunning, retry, or collection process.
We are not responsible for loss of access, failed jobs, delayed jobs, unavailable features, or business consequences caused by failed payment, expired payment method, canceled subscription, or past due status.
14. Upgrades
Customer may upgrade from a current paid plan to a higher paid plan through the available billing controls in the Platform.
An upgrade takes effect immediately after successful payment confirmation from the payment provider and activation by the Platform.
For an immediate upgrade, Customer is charged the full price of the newly selected plan. Unless expressly stated otherwise, unused time or fees from the previous plan are not credited, refunded, or prorated.
The effective date of the upgrade becomes the start of a new billing cycle for the upgraded plan.
Any pending downgrade or scheduled move to the Free Plan may be canceled or replaced when an immediate paid upgrade is successfully completed.
New plan limits, features, and usage allowances become available only after successful payment confirmation and Platform activation.
If payment for the upgrade fails or is not confirmed, the upgrade does not take effect and the existing plan remains unchanged.
15. Downgrades
Customer may request a downgrade from a current paid plan to a lower paid plan through the available billing controls in the Platform.
A downgrade does not take effect immediately. The current paid plan remains active until the end of the current paid billing period, and Customer retains the applicable features and limits of that plan until that date.
The downgrade takes effect at the end of the current paid billing period after the applicable subscription change is confirmed by the payment provider and the Platform.
No refund, credit, or partial refund is provided for the unused portion of the current paid billing period as a result of requesting a downgrade, except where required by applicable law or expressly approved by us in writing.
When the downgrade becomes effective, the lower plan’s features, limits, usage allowances, and restrictions apply.
If Customer’s existing usage or assets exceed the limits of the lower plan, connections, mappings, staging configurations, transformations, jobs, or other assets may be restricted, disabled, made inactive, or otherwise become unavailable until they are brought within the applicable plan limits or the account is upgraded again.
A downgrade to the Free Plan, where available, follows the same end-of-period principle unless otherwise required by applicable law.
Customer may cancel a pending downgrade before it becomes effective where such cancellation is supported by the Platform or payment provider.
16. Plan Limits and Fair Use
Plans may include usage limits, fair-use inserted-row limits, or technical restrictions. Where a plan displays “Fair-use inserted rows / month,” “month” means the recurring monthly usage period anchored to the Customer’s subscription period and does not necessarily align with a calendar month. Inserted rows successfully committed during that period count toward the applicable allowance.
These may apply to:
fair-use inserted rows;\ jobs;\ connections;\ mappings;\ staging configurations;\ transformations;\ connection types;\ workers;\ queue priority;\ storage;\ rejected rows;\ API usage;\ support;\ other features or resources.
Exceeding limits may result in slower queue priority, delayed or blocked jobs, restricted features, requirement to upgrade, or other fair-use enforcement.
We may apply technical controls to protect the Service, infrastructure, queues, workers, databases, third-party systems, and other users.
17. Add-ons, Top-ups, and Additional Usage
We may offer add-ons, top-ups, additional usage packages, extra capacity, or other paid extensions to eligible plans.
The availability, scope, quantity, price, applicable plan restrictions, validity period, expiration rules, and other conditions of each add-on or top-up will be shown in the Platform, on the applicable pricing or purchase page, or during checkout before purchase.
Add-ons and top-ups may be subject to plan-specific eligibility requirements and may not be available for all plans, trials, accounts, or organizations.
Unless expressly stated otherwise, add-ons and top-ups apply only for the period or usage cycle specified at the time of purchase and do not automatically renew.
Unused add-on or top-up capacity may expire at the end of the applicable validity period or subscription usage period, as disclosed before purchase.
Unless otherwise required by applicable law or expressly approved by us in writing, payments for add-ons and top-ups are non-refundable and unused capacity has no cash value.
Changes to the availability, quantity, pricing, or conditions of future add-on or top-up purchases do not affect add-ons or top-ups already purchased, except where required for legal, security, abuse-prevention, operational, or technical reasons.
18. Changes to Prices, Plans, and Features
We may change prices, plans, limits, and features from time to time.
For paid subscriptions, changes to prices or material reductions of core paid plan features will apply from the next billing period, unless earlier changes are required for legal, security, abuse-prevention, operational, or technical reasons.
For yearly subscriptions, paid plan access and core paid features generally remain available for the current paid billing period, unless changes are required earlier for legal, security, abuse-prevention, operational, or technical reasons.
Free Plan features and limits may be changed, restricted, suspended, or discontinued at any time.
19. Enterprise Plans
Enterprise plans, on-premise deployments, custom pricing, custom limits, service-level commitments, support terms, invoices, payment terms, deployment terms, and security requirements may be governed by a separate written agreement.
If a separate written Enterprise agreement applies, that agreement prevails over these Subscription Terms where there is a conflict.
20. Support
Support availability, response times, channels, and scope may depend on the selected plan.
Unless separately agreed, support does not include:
validation of Customer source data;\ review or certification of business logic;\ guarantees of SQL, mapping, or transformation correctness;\ legal, tax, accounting, compliance, audit, or business advice;\ guarantees of business outcome;\ custom development;\ third-party system administration.
21. Suspension and Termination
We may suspend, restrict, downgrade, or terminate access if:
payment fails;\ a subscription becomes past due;\ Customer violates the Terms, this document, or other policies;\ Customer exceeds limits or abuses fair use;\ Customer uses the Service in a way that creates security, legal, operational, or compliance risk;\ Customer engages in trial abuse, billing abuse, fraud, or chargeback abuse.
We are not required to provide advance notice where urgent action is needed for security, legal, operational, abuse-prevention, or compliance reasons.
22. No Business Outcome Guarantee
ETL Console provides technical tools for data integration, staging, transformation, and related workflows.
We do not guarantee:
successful completion of every job;\ correctness of Customer configurations;\ accuracy of source data;\ accuracy of transformed output;\ suitability for Customer’s specific business process;\ uninterrupted availability;\ fitness for legal, financial, audit, compliance, or operational reliance;\ any particular business result, saving, revenue, profit, or outcome.
Customer is solely responsible for reviewing, validating, and approving all Platform outputs before relying on them.
To the maximum extent permitted by law, we are not responsible for losses, damages, lost profit, lost revenue, missed opportunity, business interruption, failed process, incorrect decision, or other consequences resulting from Customer’s use of the Service or reliance on Platform outputs.
23. Changes to These Subscription Terms
We may update these Subscription Terms from time to time.
If changes are material, we will make reasonable efforts to notify users through the Platform, email, or other reasonable means.
Continued use of the Service after the updated Subscription Terms become effective means you accept the updated terms.
